What PlannerXchange Is

  • PlannerXchange is a marketplace for AI-powered financial-planning Tools built by advisors ("Builders") for other advisors ("Users"). Explorer is free, Practitioner is $40/month.
  • We're a technology company, not a Registered Investment Adviser, broker-dealer, or fiduciary to your clients. We don't supervise, endorse, or audit any Tool.
  • Parts of the Platform are still in active development; features, pricing, and integrations may change before general availability.

What the Platform Does

  • Hosts Tools built by Builders for other Users, with free (Explorer) and paid (Practitioner, $40/mo) tiers, Builder revenue share, and optional Remix (Sections 5–6).
  • Supports optional integrations with third-party CRMs, custodians, and payment processors (Section 8).

What the Platform Does Not Do

  • Provide investment, tax, or legal advice to you or your clients.
  • Supervise, endorse, or audit any Tool's professional suitability.
  • Assume fiduciary duty to your clients.
Beta / Pre-Release Status Parts of the Platform are still under active development. Features, pricing, and integrations may change before general availability, and some features may be limited or pre-release (Section 6).

"Remix"Practitioner ability to adapt a Builder's Tool where the Builder has opted in.
"White-Label Deployment"A configuration in which a User applies its own branding to an eligible Tool or subscription tier for presentation to that User's own clients (Section 5).
"Beta Feature"Any Tool, integration, or Platform feature designated as "beta," "early access," "preview," or similar (Section 6).
"Connected Service"A third-party system, such as a CRM, custodian, planning tool, email provider, or payment processor, that a User links to the Platform via an integration (Section 8).
"Community Space"Any Slack workspace, channel, forum, or similar space PlannerXchange operates or designates for Users to exchange feedback (Section 12A).
"Presenter" / "Presenter Content"A User or guest who appears in a PlannerXchange-hosted event or session, and any recording, slide, or material associated with it (Section 12B).
"Professional Validation"Independent human review by a qualified professional before any Output is acted upon or shared with a client.
"SOC 2"System and Organization Controls 2, an AICPA security and trust framework. PlannerXchange is not currently SOC 2 certified. See Section 10.
"Subprocessor"A third-party provider to whom PlannerXchange routes data in the course of delivering the Platform.

Eligibility & Account Registration

Access is invite-only for financial and tax professionals, who make standard representations at signup.

PlannerXchange is built for financial and tax professionals. Access is by invitation during the current phase, and PlannerXchange may approve, deny, or revoke access at its discretion.

  • You have authority to agree to these Terms, including on behalf of your firm if accessing professionally.
  • Your use complies with your own firm's policies, and you're responsible for any disclosures your firm requires around AI tool use.

Tool Outputs & Professional Validation

Every Tool's output, AI-generated or calculated, must be validated by you and is never financial advice to your end client.

Non-Negotiable: Read Before Using Any Tool Not every Tool on the Platform is AI-generated: some perform deterministic calculations, others use AI, and many combine both. Regardless of how a Tool produces its Output, you must independently validate it before use, and no Output may be presented to, or relied on by, an end client as financial, tax, or legal advice.

You accept full professional responsibility for any advice you deliver that is informed by or derived from a Tool's Output, and for keeping records of that use consistent with your own recordkeeping obligations.

Marketplace Tools & Builder-Published Content

Tools published by Builders, including white-labeled and beta Tools, are subject to the same standard. Builders are responsible for the accuracy of claims they make about a Tool's capabilities (Section 5). PlannerXchange does not guarantee that any Tool is suitable for a specific client, jurisdiction, or planning situation.

Marketplace, Publishing & White-Label Terms

Rules for Builders publishing Tools to the Marketplace, and for Users who white-label a Tool under their own brand.

Users may white-label a Tool (apply their own branding to it) only where the listing or subscription tier permits it. You're responsible for the accuracy and compliance of any branding, disclosures, or client-facing language you add, and PlannerXchange may remove a white-labeled deployment that violates these Terms, applicable law, or third-party rights. White-label features may also be offered as Beta Features (Section 6) and can change before general availability.

Marketplace Publishing & App Submissions

Before a Tool is published and listed on the Marketplace, it goes through PlannerXchange's internal security review. PlannerXchange may reject, edit, delist, or suspend any Marketplace listing at its discretion, including after publication, for security, legal, or quality concerns. Builders are solely responsible for maintaining, supporting, and updating their published Tools.

Beta Program & Beta Features

Beta features are experimental, may change or disappear, and beta pricing isn't a promise of future pricing.

Beta Features, anything PlannerXchange designates as "beta," "early access," or "preview," are experimental, may change or be removed without notice, and should not be relied on as your sole compliance, planning, or client-service system. Beta access and any "founding" or privileged pricing may be offered for a limited time and aren't guaranteed to continue once a feature reaches general availability (pricing changes follow Section 16). By using a Beta Feature, you agree to provide feedback on request, which PlannerXchange may use to improve the Platform without compensation to you.

Fees, Payments & Revenue Share

  • Explorer is free (Builders earn 30% revenue share); Practitioner is $40/month (Builders earn 10%). These are subscription fees, not commissions or referral fees.
  • Builder Revenue Share works like a book royalty or a paid speaking engagement: compensation for sharing your professional knowledge, not client-transaction income. It doesn't determine your fee-only status; that's your call with your compliance counsel.
  • Stripe processes payments on the Platform.

A. How PlannerXchange Gets Paid

  • Explorer Users Free: No subscription fee. Builders earn 30% revenue share on tools they publish.
  • Practitioner Users $40/mo: Software subscription paid by User to PlannerXchange. Not a commission, referral fee, or product-based compensation.
  • Builder Revenue Share Builder: B2B software licensing income distributed from subscription fees collected from other Users.

B. Builder Revenue Share and Fee-Only Status

Builder Revenue Share works like a book royalty, a CE course fee, or a paid speaking engagement: compensation for sharing the professional knowledge you built into a Tool, not income from client transactions or product sales. Many advisors already earn this kind of income while remaining fee-only. That said, PlannerXchange makes no binding determination about your fee-only status under NAPFA, XYPN, Garrett, or ACP standards; that determination belongs to you and your compliance counsel.

C. Payment Processing

Payments on the Platform, including subscriptions, Builder payouts, and any Marketplace monetization, are processed by Stripe.

Third-Party Integrations & Communications

  • You can connect the Platform to third-party tools (CRMs, custodians, planning software) at your own choice; you need the rights to any data you connect, and PlannerXchange isn't liable for a third party's downtime or accuracy.
  • If you use email/messaging features, review everything, including AI-drafted content, before it's sent, and never send spam or non-compliant communications.

A. Third-Party Data Integrations

  • You can connect the Platform to third-party tools like CRMs (e.g., Wealthbox) or custodians (e.g., Altruist) at your own discretion ("Connected Services").
  • You're responsible for having the rights and consent needed to connect and use that data. PlannerXchange isn't responsible for a Connected Service's accuracy, uptime, or permissions, and integrations may change or be discontinued at any time.
  • Verify any data pulled from a Connected Service before relying on it for a client.

B. Email & Messaging Features

  • Review and approve any generated or AI-assisted communication before it's sent; PlannerXchange doesn't guarantee its accuracy or deliverability.
  • Don't use these features to send spam or communications that violate marketing, privacy, or advisor compliance rules.

Regulatory Status & Your Obligations

PlannerXchange is a technology vendor, not a regulated financial firm; your own compliance obligations are unaffected.

The Short Version PlannerXchange is a B2B technology platform, not a Registered Investment Adviser, broker-dealer, or regulated financial firm. We don't sell products to end clients, take compensation tied to client assets, or make client-facing recommendations. You retain full fiduciary and compliance responsibility for your own use of the Platform.

Using PlannerXchange doesn't reduce or satisfy any of your existing regulatory or firm obligations; that responsibility, and any disclosures it requires (e.g., in your Form ADV), stays with you.

Security, Data & Privacy

  • We do store the data you provide (account info, Tool inputs) with security-conscious practices in place, but we're not yet SOC 2 or GDPR certified, so use the Platform at your own risk in the meantime.
  • You're responsible for having consent to input client data, and for checking that a Builder's Tool handles data appropriately.
  • We don't sell or share your data, and we'll notify you of any confirmed security incident.

Current Security Posture PlannerXchange is not currently SOC 2 or GDPR certified. We store the data you provide and apply security-conscious practices using reputable infrastructure providers, while working toward SOC 2/GDPR alignment as we grow. Until then, use the Platform at your own risk; no system can be guaranteed completely secure.

What We Store

We process your account data, usage data, and anything you input into a Tool, to operate the Platform and communicate with you (full detail in our [Privacy Policy URL]).

Security Controls

  • Data is encrypted in transit (TLS 1.2+) and at rest.
  • Access is role-based and limited to what's needed.
  • We'll notify affected Users within [72 hours] of confirming a security incident.

Your Responsibility

  • PlannerXchange can't guarantee individual Builders' data handling; review a Tool's disclosures before client-adjacent use.
  • You remain responsible for your own regulatory and firm compliance (Section 9).

We don't sell, rent, or share your data with third parties for marketing. Tools may route inputs to third-party AI providers, which generally don't train on your inputs, but check each provider's terms before compliance-sensitive use.

Intellectual Property, Remix & Feedback

  • Builders keep ownership of their Tools; PlannerXchange only gets a license to display and distribute what's listed (Section 5).
  • Data you input belongs to you, unless it came from a Connected Service via API (Section 8), in which case that provider's terms still apply.
  • PlannerXchange owns its own brand and platform; feedback you give us can be used freely, without compensation or credit.

Builder & Data Ownership

Builders keep ownership of their Tools and contributed IP; listing a Tool just gives PlannerXchange a license to display and distribute it (Section 5). Data you input into a Tool belongs to you; if it came from a Connected Service via API (Section 8), it's still subject to that provider's terms.

Remix

Where a Builder opts in, Practitioners may adapt their Tool into a derivative, but must not misrepresent its origin or falsely attribute the original Builder. PlannerXchange isn't liable for Builder/User disputes arising from Remix use.

Platform IP & Feedback

The PlannerXchange brand, marketplace, and platform are our IP; using the Platform doesn't license you to reproduce or commercialize them. Any feedback or ideas you share with us may be used to operate and improve the Platform, without compensation or attribution owed to you.

Community, Presenter & Event Content

  • Community Spaces (e.g., a beta-tester Slack channel) are for exchanging feedback and connecting with other Users; don't post confidential client info, PII, passwords, or API keys there.
  • If you present at or appear in a PlannerXchange event, you're granting us the right to record and reuse that content, and you're responsible for having rights to what you present.

A. Community & Feedback Channels

  • Community Spaces (for example, a beta-tester Slack channel) are for exchanging feedback and connecting with other Users. Don't share confidential client information, client PII, passwords, API keys, or proprietary third-party content there.
  • PlannerXchange may moderate, remove content from, or close a Community Space at its discretion. Feedback shared there is subject to the Feedback License in Section 11, and comments posted there aren't professional advice.

B. Presenter & Event Terms

If you present, demonstrate, or otherwise appear in a PlannerXchange-hosted event or recorded session (including "AI Lunch Club"), you grant PlannerXchange a license to record, edit, and reuse that session and any Presenter Content, including posting it to YouTube, the Platform, or marketing materials. You represent that you hold the rights to anything you present and agree not to disclose confidential or nonpublic client information during a session; you remain responsible for your own compliance review of your Presenter Content. PlannerXchange may edit, decline to publish, or remove a recording at its discretion.

Warranties, Liability & Indemnification

  • The Platform and all Tools are provided "as is," with no warranty of accuracy, uptime, or fitness for a particular purpose.
  • Our total liability is capped at what you've paid us in the past 12 months (or [$100 USD], if greater).
  • You agree to indemnify PlannerXchange for claims arising from your use of the Platform, including relying on an Output without validating it.

THE PLATFORM AND ALL TOOLS, INCLUDING BETA FEATURES, WHITE-LABEL DEPLOYMENTS, MARKETPLACE LISTINGS, AND CONNECTED SERVICES, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. PLANNERXCHANGE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, REGULATORY COMPLIANCE, OR PROFESSIONAL SUFFICIENCY.

PlannerXchange doesn't warrant that any Output is accurate, that the Platform will be uninterrupted, or that using a Tool satisfies any regulatory obligation.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLANNERXCHANGE AND ITS OWNERS, OFFICERS, EMPLOYEES, BUILDERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSSES FROM RELIANCE ON AN INACCURATE TOOL OUTPUT, A BETA FEATURE, A CONNECTED SERVICE, A WHITE-LABEL DEPLOYMENT, REGULATORY ACTIONS, CLIENT CLAIMS, COMPLIANCE FAILURES, OR PROFESSIONAL DISCIPLINE, EVEN IF PLANNERXCHANGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PlannerXchange's total aggregate liability to any User shall not exceed the greater of (a) subscription fees paid by that User in the preceding 12 months, or (b) [$100 USD]. This cap reflects our role as a technology provider, not a financial firm assuming fiduciary exposure.

Indemnification

You agree to defend, indemnify, and hold harmless PlannerXchange and its owners, officers, employees, Builders, and affiliates from claims arising from: violating these Terms; relying on an Output without Professional Validation; a Beta Feature, Connected Service, or White-Label Deployment you used; or any client claim arising from your Platform use.

Termination

Either side can end the relationship at any time; a handful of sections survive after that.

PlannerXchange may suspend or terminate your account for material violation of these Terms, including false registration, Platform use creating legal or regulatory risk for PlannerXchange, or non-payment of Practitioner fees. You may cancel at any time; Practitioner cancellation takes effect at end of the current billing period. Builder Revenue Share accrued before termination will be paid per the standard schedule. Sections 1, 4, 5, 6, 7, 11, 13, 15, and 16 survive termination.

Governing Law & Disputes

Pennsylvania law governs, and disputes go to binding arbitration rather than court.

These Terms are governed by the laws of the State of Pennsylvania, without regard to conflict-of-law principles. Disputes that cannot be resolved informally shall be submitted to binding arbitration under the rules of [AAA / JAMS] in [City, Pennsylvania]. Modifications

We can update these Terms with advance notice; continued use after that means you accept the changes.
